02Acceptance

By accessing the site or requesting a call, the user declares to have read, understood and fully accepted these Terms, the Privacy Policy and the Cookie Policy. If you do not accept them, you must stop using the site.

03Services offered

Elysir Digital develops and installs Eagle OS, an operating system for hospitality and short-term-rental businesses: connection to the tools the client already uses, process mapping, activation of the sections, team training, licence and support.

The contents of the site are informational and do not constitute a contractual offer. Figures, timings and results quoted come from the reference instance and are given as examples: actual results depend on each client's organisation. The specifics of each project — scope, timing, fees, service levels — are governed by a dedicated commercial proposal and by the contract signed by the parties, which prevail over these general provisions in case of conflict.

04Use of the site

The user agrees to:

• use the site in compliance with laws, regulations and good faith;
• refrain from any activity that may damage, overload or compromise the infrastructure;
• refrain from unauthorised access attempts, reverse engineering, mass scraping or unauthorised automation;
• refrain from uploading or transmitting, including through the contact form, unlawful or defamatory content, content infringing third-party rights, or malware;
• provide truthful information in the contact form, relating to themselves or the company they represent.

05Intellectual property

All content on the site — including texts, graphics, logos, trademarks, the Eagi mascot, images, videos, product screens, code, methodologies and frameworks — is the exclusive property of Elysir Digital LLC or its respective owners, and is protected by copyright and industrial-property laws. Any reproduction, distribution, modification or commercial use without written authorisation is prohibited.

The Eagle OS software is licensed to clients under the terms of the contract; nothing on the site transfers ownership rights over the software.

06Client content and data

The client warrants holding all rights over the materials and data (texts, images, booking data, contact records, access to their own tools) provided to Elysir Digital for the installation and operation of Eagle OS, and indemnifies Elysir Digital from third-party claims related to the use of such materials. Data loaded into the Eagle OS instance remains the client's property and can be exported at any time as provided by the contract.

07Payments and invoicing

Fees, payment methods, timing and conditions are defined in the proposal or contract signed by the parties and are not published on the site. Unless otherwise agreed, invoices are payable within 30 days of invoice date. Late payments accrue default interest as provided by applicable law.

08Limitation of liability

The site and its contents are provided "as is". To the maximum extent permitted by applicable law, Elysir Digital is not liable for:

• indirect or consequential damages, loss of profits, data or business opportunities arising from the use of the site;
• interruptions of the site due to force majeure, maintenance or external factors;
• economic or operational results affected by external variables (third-party platforms, booking channels, market, behaviour of guests or of the client's team).

Elysir Digital's total liability, where recognised, is in any case limited to the amount actually paid by the client for the specific service in dispute in the twelve (12) months preceding the event. Any warranties and service levels relating to Eagle OS are defined exclusively in the contract.

The site may contain links to third-party resources. Elysir Digital exercises no control over such content and disclaims any responsibility for its accuracy or availability.

10Changes

Elysir Digital reserves the right to modify these Terms at any time. Changes take effect once published on the site, with the last-updated date shown. Continued use of the site implies acceptance of the updated version.

11Governing law and jurisdiction

These Terms are governed by the laws of the State of New York (USA), without prejudice to mandatory protection rules applicable in the user's country of residence. For any dispute arising from the use of the site, the courts of Albany, NY shall have exclusive jurisdiction, unless otherwise mandated by law. The governing law and jurisdiction of the Eagle OS service contract are stated in the contract itself.
